(a) declare such Material is not confidential, secret or proprietary information belonging to someone else
(b) grant ICQ LLC., its affiliates, successors, parent subsidiaries, assigns, assignees, licensees, legal representatives, ("ICQ") the irrevocable, perpetual, worldwide right and license to use, reproduce, edit, market, store, distribute, have distributed, publicly and privately display, communicate, link to, publicly and privately perform, transmit, have transmitted, create derivative works based upon and promote the Material (as such may be edited and modified by ICQ in its discretion) through the ICQ Web site and such other products or services as ICQ may designate from time to time in any medium now known or hereafter devised, for editorial, commercial, promotional and all other purposes.
While you retain ownership of all right, title, and interest you may have in the Material itself, you agree that ICQ owns all right, title, and interest in any compilation, collective work or other derivative work created by ICQ using or incorporating the Material;
(c) represent and warrant that (i) the Material does not and shall not infringe on any copyright or any other third party right nor violate any applicable law or regulation; (ii) you have the right to grant any and all necessary rights and licenses provided herein, including without limitation, all necessary copyright and other related rights to the Material, free and clear of all claims and encumbrances without violating the rights of any person or entity, including any right to privacy or publicity; (iii) the Material complies with the ICQ Terms of Service available on or through www.icq.com/legal/.
(d) acknowledge that you (and not ICQ) are solely liable for any damage resulting from infringement of copyrights, proprietary rights or any other intellectual property rights, or any other harm or damage arising from your submission and ICQ's display of the Material.
You hereby hold ICQ harmless from and against any claim arising from use of the Material, including any third party claim;
ICQ reserves the right and the sole discretion to refrain from publishing on the ICQ Web site and delete or remove from the ICQ Web site, any Material posted,
uploaded, submitted, sent, provided for display or transmitted by any user or any part thereof;
